This agreement is made by and between Parents/Guardians/Individuals (hereinafter referred to as “Parent(s)/Individual”) and Chikku LLC, dba DcodeSTEM, (hereinafter referred to as “Chikku LLC” or as “DcodeSTEM”).

Both parents/guardians/Individuals please sign, "DcodeSTEM Agreement". Students will not be considered eligible for enrollment until this Agreement is executed.

• Parent(s)/Individual acknowledges that in executing this Comprehensive DcodeSTEM  Agreement, the parent is not relying upon any representation or statement made by DcodeSTEM or its representatives or employees. This entire agreement between the parties supersedes all prior and contemporaneous oral or written statements.

• No amendments or modifications to this Comprehensive Agreement shall be of any force or effect unless contained in subsequent writing and signed by each party. No waiver of any provisions hereof shall constitute a waiver of any other provision, nor shall any waiver constitute a continuing waiver. Any waiver must be in writing and signed by the party making the waiver.

• Instructor-Led Class ONLY (Not Applicable for Self-Paced Class): Parent(s)/individuals have the right to withdraw their child with a minimum 30-day written notice and one week's notice in case of summer and spring camp. Intention to withdraw must be made in writing to the administration and the business office. The date of withdrawal will be determined pursuant to the date of receipt of the intention to withdraw. All amounts, including fees owed through the determined withdrawal date, will be due and payable in full on the date of withdrawal.  Studio fees and registration fees, if charged, are not refundable. Self-paced classes fees are non-refundable once the student has access to package

• Parent(s)/individual understand this requirement is effective immediately and applicable year-round including, but not limited to, summer sessions, spring camp, and DcodeSTEM holidays.

• Parent(s)/Individual understand that DcodeSTEM in its absolute and sole discretion reserves the right to suspend and/or dismiss student(s), with or without notice, in circumstances where DcodeSTEM determines that the welfare of the child, the facility (including but not limited to the founders, employees, volunteers, or another student (s) and or their families) requires such dismissal. 

• DcodeSTEM reserves the right to suspend or permanently dismiss children at any time for unsatisfactory behavior. Unsatisfactory behavior is as determined by founders of Chikku LLC dba DcodeSTEM

• Students must be escorted from DcodeSTEM facility after dismissal time, each session runs for 60 minutes. Not Applicable for Self Paced Class

• DcodeSTEM determines the curriculum, instructor(s), class assignment, and/or class composition, at its absolute and sole discretion.

• Parent(s)/Individuals jointly and individually agree and promise to pay DcodeSTEM the fees on the first of every month and no later than the 5th of the month. Refer to “Fees and Cancelation Policy “ Section for details

• Fees will remain the same during the term of this agreement as long the child is the student of DcodeSTEM

• For fees and Cancellation Policy refer to Fees and Cancellation policy. 

• Parent (s) understand and agree that fees for any portion of the month already paid for will not be refunded. Intention to withdraw must be made in writing a minimum of 30 days in advance to the DcodeSTEM office. The date of withdrawal will be determined by the date of receipt of the letter. All amounts owed will be due and payable in full on the date of withdrawal. Not Applicable for Self Paced Class.

• The registration fee and Studio fee is non-refundable. Not Applicable for Self-Paced Class

• This agreement is valid for the year 2020 July and beyond. 

• If any legal action is brought to enforce or interpret the provisions of this agreement, the prevailing party will be entitled to reasonable attorney’s fees, which may be set by the court in the same action or in a separate action brought for that purpose, in addition to any other relief to which that prevailing party may be entitled.

• Parent(s)/Individuals will inform DcodeSTEM on a timely basis of any medical condition which may impact their child’s performance, safety or well-being, or that of other students, instructors, Staff or founders, faculty, staff and/or volunteers.

• This agreement must be completed by parent(s)/individual and received by the DcodeSTEM before any child may begin classes at DcodeSTEM. All accounts must be current and in good standing before student(s) attend DcodeSTEM.

• Parent(s) and student(s) agree to the following: 1) parent(s) and student(s) will abide by all points mentioned in this document titled “DcodeSTEM comprehensive agreement document”

• Parent(s)/Individual acknowledge they have thoroughly read this document and agree to abide by it

• Parent(s)/Individual acknowledge and agree that certain risks, known and unknown, are inherent in Student’s (s’) attendance at DcodeSTEM. Parent(s)/Individual, on behalf of themselves, their children, heirs, representatives and estates, hereby release, discharge and hold harmless DcodeSTEM, its founders, instructors, directors, agents, employees, volunteers, representatives and successors and/ or assigns (“Releasees”) from any and all claims and/or liability of any sort arising from acts or omissions in the performance of services under this Agreement and/or injury to Student(s) or Parent(s)/Individual arising from Student’s (s’) attendance at DcodeSTEM and/or related activities (unless such acts, omissions or injury resulting directly from the willful misconduct of Releasees. ) Parent(s)/Individual, on behalf of themselves, their children, heirs, representatives, and estates, hereby further release, discharge, and agree to defend, hold harmless and indemnify Releasees from claims, demands, charges, or causes of action of any sort arising from or connected to Student’s (s’) attendance at DcodeSTEM and any related activities, including any claim of negligence on behalf of Releasees.

• If any provision or provisions of this Agreement shall be held to be invalid, illegal, unenforceable or unenforced or in conflict with the law of any jurisdiction, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

• DcodeSTEM does not discriminate on the basis of disability, race, color, national origin, ethnic origin, sex, or religion, or in the conduct of any of its programs.

• (Not Applicable for Self Paced Class) I hereby grant permission to members of DcodeSTEM to take whatever steps may be necessary to obtain emergency medical care if warranted. These steps may include, but are not limited to, the following:

1. Attempt to contact a parent or guardian.

2. In case of emergency, DcodeSTEM will do any or all of the following: (a) call another physician or paramedics, (b) call an ambulance, (c) have my child transported to Mercy Hospital of Folsom, or the closest available hospital in the company of a staff member.

3. I understand any expenses incurred under paragraph 2 (above) will be borne by the child's family.

• I understand the DcodeSTEM will not be responsible for anything that may happen as a result of false information given by parents/guardians at the time of enrollment.

• DcodeSTEM will observe all holidays per the Folsom Unified School district for the year and there will be no makeup classes for the holidays observed. For students going on vacation and students not able to attend due to various circumstances, there will be a pre-recorded make-up class provided. Not Applicable for Self Paced Class.

• Self-paced class and material is a single user multiple uses setup, sharing, or copying content with any other user is in violation of copyright law. This is the sole property of DBA DcodeSTEM , Chikku LLC

• DcodeSTEM can decide to discontinue any class at its sole discretion by informing its customers 15 days prior to discontinuation of the class

• By signing below, each signatory declares they have read, understood, and accepted this agreement.

• All provisions of this agreement, except ones preceded by “(Optional)”, are mandatory and will not be waived modified, or terminated, except by a Rider to the agreement signed by both Parent and DcodeSTEM.

• By signing this Comprehensive Agreement, I/we represent and warrant for the benefit of DcodeSTEM that I/we possess the legal authority to enroll the student(s) named in this agreement and perform all of my/our obligations under this Agreement.

• DcodeSTEM holds the right to update this agreement at any time. Parent(s)/Individuals will be asked to visit this page when that happens.
